Terms and Conditions​

These Terms and Conditions (Terms) govern the use of services, products, promotions, and participation in any initiatives, including but not limited to marketing campaigns and referral programs, offered by DS Business Hub (DSBH, we, us, or our). By engaging with DSBH through our website, platforms, services, or promotional programs, you (you, User, or Client) agree to be legally bound by these Terms. If you do not agree to these Terms, please do not proceed with any transaction, use, or participation.

Definitions

Client

Client means any individual or organisation using the Services offered by DSBH.

CP

Channel Partner means the entity which is registered with DSBH as a Channel Partner and has signed the Channel Partner Agreement.

Company

Company means an entity registered with DSBH and has obtained a business license.

DSBH

Dubai South Business Hub means the Dubai South Business Centre as allocated by the Free Zone.

DSBH Portal

DSBH Portal means the official online platform provided by DSBH through which clients can submit service requests, update personal information, upload documentation, track application status, and make payments related to DSBH’s services. The portal serves as the primary channel for communication and transaction processing between clients and DSBH.

Fees

Fees means the registration and licensing fees set forth by the Authority, including but not limited to company registration, business license issuance, visa and entry permits, labour cards, appointment of company officers, shareholders and directors, the production of corporate documentation, as well as any amendments related to these services. In addition, it includes any amounts payable to the Free Zone for additional Services, including but not limited to Flexi Desk, Mail Management, Phone answering, etc.

Program

Program means the official referral initiative established by DSBH, through which individuals or entities (Referrers) can refer prospective clients seeking to establish their business. In return, eligible Referrers may receive a reward, subject to the terms and conditions of the Program, upon successful onboarding of the referred client.

Privacy Policy

Privacy Policy means the policy as set forth by DSBH.

Services

Services means the services agreed between DSBH and the Client, including but not limited to corporate services, employee services, value added services and facilitation of payments to third party service providers.

Scope of Services

Scope of Services means the specific tasks, functions, and deliverables to be performed or provided by DSBH for the Client, as mutually agreed and subject to the Terms and the Regulations. The Scope of Services may be amended by DSBH from time to time.

Terms

Terms means these General Terms & Conditions as set forth by DSBH.

The Free Zone

The Free Zone means Dubai South Free Zone was established as a Free Zone in 2006, formerly known as Dubai World Central, and in 2015, it was renamed as “Dubai South”. Dubai South covers a 145 km2 area that is comprised of multiple zones and are managed collectively by the Dubai Aviation City Corporation (“DACC”) and Dubai World Central Corporation (“DWCC”). The licensing and regulatory functions of the Free Zone are undertaken by the DACC whereas the management and operation of the Free Zone is overseen by DWCC.

  1. General

    1.1. DSBH offers business setup, company formation, and related support services. All Services are subject to availability, regulatory approvals, and compliance with applicable UAE laws.
    1.2. Subject to the provisions of these Terms, DSBH shall provide the Services indicated under the Scope of Services provided to the Client by DSBH.
    1.3. The Scope of Services may be amended through formation amendment and additional Fees may incur. DSBH’s role under the Scope of Services is to assist and, therefore, does not guarantee the Client’s intended outcome. In such an event, the Client will be notified of all charges, costs, and expenses associated with such corporate transactions’ assistance.
    1.4. Certain Services or promotional offers may have additional eligibility criteria which will be communicated at the time of participation.
    1.5. You agree to provide true, accurate, and complete information during your engagement with DSBH. Misrepresentation may result in Service refusal, termination, or legal action.
    1.6. All applications submitted to DSBH for the business setup are subject to internal assessment and third-party approvals, where applicable. DSBH does not guarantee acceptance or issuance of licenses.
    1.7. All Fees for Services provided by DSBH must be paid in full as agreed prior to commencement of the service.
    1.8. Payments must be made in Arab Emirate Dirham (AED). Any bank fees or charges are the responsibility of the CP.
    1.9. Any stakeholder seeking information regarding the Company must initiate communication via registered mobile number or registered email ID.
    1.10. The registered mobile number and registered email ID are the numbers and email addresses that have been officially provided to the Company and are maintained in DSBH’s records.
    1.11. If the request is made via any other mobile number or email address, DSBH will not provide any information regarding the Company, its operations, or any other details unless explicitly verified through additional means.
    1.12. The Company will maintain a record of all communication related to information requests, including the mobile number and email ID used to make the request.
    1.13. Any change to the registered mobile number or email ID should be submitted through the DSBH Portal. Please note that applicable amendment fees may be incurred.
    1.14. By contacting DSBH, the stakeholders consent to DSBH storing and using this information for the purpose of communication verification.
    1.15. DSBH collects and processes personal data in accordance with its Privacy Policy and applicable data protection laws in the UAE. By using our Services or participating in our programs, you consent to the collection, storage, and use of your data for legitimate business and operational purposes.
    1.16. In the event that the Client requests DSBH to alter, modify or change its existing business license package, the Client agrees and acknowledges that the renewal cost may vary, depending on the type of alteration requested.
    1.17. In the event that the Client wishes to upgrade its existing business license package, the Client shall ensure payment of the entire Fees associated with the upgraded package, in addition to the DSBH’s amendment Fee, as applicable. Any Fee paid towards the Client’s existing business license package shall not set off any Fees due in exchange for the upgraded package.
    1.18. The Client shall use the Services solely for the purpose of conducting legal business activities within the Free Zone.
    1.19. Cancellation of a license is subject to applicable Fees.
    1.20. Visa allocation Fees pertain solely to the assignment of visa quota and are distinct from the Fees associated with the processing or issuance of individual visas.
    1.21. If a Client represented by a CP contacts DSBH directly for any Service request, DSBH will not process the request. The request will be referred back to the respective CP for appropriate handling and redirection.
    1.22. DSBH shall be permitted to sub-contract or appoint an agent in respect of any obligations with respect to the Services.
    1.23. DSBH reserves the right to seek alternative third-party service providers at any time in order to fulfil its obligations to provide the Services.
  2. Timeline

    2.1. DSBH shall endeavor, but shall not be obligated to, complete all Services within the provided timelines.
    2.2. The cut-off time for submitting documents related to immigration services or transactions requiring third-party assistance, as well as for receipt of payments by DSBH, is 11:00 a.m. on each working day. Any documents or payments received after this time will be deemed received by DSBH on the next working day.
    2.3. For applications submitted with all requirements and where payment is received before 11 am, this will be considered as the first day of submission.
    2.4. If the application is returned due to incomplete, incorrect, or missing information, the processing timeline shall be suspended and be reset from the start upon the Client’s complete resubmission of all required documents and information.
    2.5. Applications are submitted for processing and indicated timelines commence only upon realization of all required documentation and full payment of the Fees owed to DSBH.
    2.6. DSBH shall not be held liable for delays caused by incomplete documentation, regulatory reviews, or circumstances attributable to the Client.
    2.7. The Client acknowledges that DSBH may, at any time, update the timelines, and therefore, it is the ongoing responsibility of the Client to familiarize itself with the updates in DSBH’s proposed timelines.
    2.8. The timelines indicated hereunder are based on the average processing time concluded by DSBH and therefore, actual timelines may vary.
    2.9. References to all timelines correlate to working days and not calendar days within the United Arab Emirates.
    2.10. Under special circumstances, such as periods of mourning, religious events and holidays, such as Ramadan or Eid, indicated timelines may become subject to delays. In such an event, DSBH shall not be held liable for any delays or interruptions to the Scope of Services.

    Referral Program

  3. Referral Program

    Participation in the Referral Program is subject to the following terms:

    1. Eligibility
      1. The referrer must be at least eighteen (18) years of age.
      2. The Program is applicable for new business set ups only. Any renewals or reissuance of a business license shall not be eligible.
      3. You must refer a client that has not inquired for a business license or engaged with DSBH in any previous or current business transaction. The Referee must not already exist in DSBH’s records as a lead, a referee or as a client.
    2. Referral Submission
      1. Referrals must be submitted using the referral form available on the official DSBH website.
      2. In the case of duplicate referrals, the first valid submission received will be considered.
    3. Reward Criteria
      1. A fixed reward of AED 1,500 will be paid for each successful referral irrespective of the package or license duration.
      2. A referral is considered successful only if the Referee:
        • signs up to obtain the Services through the DSBH portal,
        • makes full payment for the license package, and
        • is issued a business license by DSBH for at least one (1) year.
      3. Payment will be made within two (2) working days of successful license issuance.
      4. To claim the reward, you must provide DSBH with the requested documents via your registered email address which may include your identification details such as passport copy.
    4. Verification and Disqualification
      1. All referrals are subject to internal verification by DSBH.
      2. DSBH reserves the right to disqualify referrals that are incomplete, fraudulent, misleading, or submitted via unofficial channels.
      3. Use of any affiliate website, affiliate network, automated systems or scrips is strictly prohibited and shall result in a disqualification from the Program. Misuse, manipulation, or violation of the terms may result in forfeiture of rewards and legal action if applicable.
      4. DSBH may, in its sole discretion, prohibit you from participating in the Program or from receiving the reward if DSBH determines that you are attempting to undermine the fairness, integrity or legitimacy of the Program in any way by cheating, hacking, deception, fraud or any other unfair practices.
      5. If the reward remains unclaimed by the referrer for a period of three (3) months from the date of referral confirmation, it shall be deemed as forfeited. In such an event, DSBH shall assume no legal or financial liability towards the referrer.
      6. DSBH reserves the right and discretion to determine any claims regarding the reward that has been deemed forfeited, and its decision shall be final. The referrer waives any right to challenge or contest the final decision in any manner.
      7. You agree and acknowledge that DSBH, in its sole discretion, reserves the full right and authority to reject referrals for any reason.
      8. In the event of a breach of these Terms or applicable laws of the United Arab Emirates, DSBH reserves the right to cancel, reject or otherwise abrogate the reward owed to you.
    5. Consent and Privacy
      1. By submitting a referral, the referrer confirms that the referee has consented to their information being shared with DSBH.
      2. All personal data collected will be processed in accordance with applicable data protection laws and DSBH’s Privacy Policy.
      3. You acknowledge that DSBH may store, record or document any information exchanged through the link.
    6. Modifications
      1. DSBH may amend, suspend, or terminate the referral program at any time without prior notice.
      2. DSBH reserves the right to amend these Terms at any time, without notice. Your continued participation in the Program, following such amendments, represents your agreement to be bound by these terms and conditions as amended.
  4. Refund

    This refund policy applies to all types of DSBH Services.

    4.1. All refunds shall be subject to review and approval by DSBH. DSBH reserves the right to verify the circumstances giving rise to a refund request and may require supporting documentation from the Client. Refunds shall be processed within a reasonable period of time and shall be limited strictly to the conditions outlined herein. DSBH shall not be liable for any indirect, incidental, or consequential loss arising from refund claims.
    4.2. DSBH and/or the Free Zone reserves the right to reject any refund application. Refund requests shall be processed either as a credit towards future services or by way of payout. Any refund payout request will be processed using the same method in which the Client originally made the payment.
    4.3. In the event of rejection of an investor/partner visa or employee visa application, the Client shall be entitled to a refund of the fees paid, subject to a deduction of AED 2,000 or AED 1000, respectively as administrative charges.
    4.4. DSBH and/or the Free Zone has the right to reject any refund applications if the establishment card of Company has been rejected/ returned by the General Directorate of Residency and Foreign Affairs (GDRFA) due to any pending criminal or civil cases against any Employees, agents, directors, proxies, consultants, or contractors, of the Company.
    4.5. Where payment has been made by the Client for a transaction which has not been initiated by DSBH or in instances where DSBH fails to complete the Services that it has been engaged for excluding instances where the delay or rejection arises from third-party authorities, the Client shall be entitled to a full refund of the amount paid, without any deduction.
    4.6. Where a license application is rejected by State Security, Compliance authorities, or other third-party regulators, the Client shall be entitled to a refund, subject to a deduction of AED 2,000 as administrative charges. Refunds in such cases shall be processed only by way of payout and not by credit.
    4.7. In the event that Beyond Hub services have been initiated but not completed, and provided that no third-party fees have been incurred, the Client shall be entitled to a refund of the fees paid, subject to a deduction of AED 1,000 as administrative charges.
    4.8. In the event that the Client has made a duplicate payment for the same service or has made advance payments for services that have not been initiated, DSBH shall issue a full refund of the duplicated amount without any deduction.
    4.9. All refund claims must be submitted within 180 days from the date of receipt. Refund requests submitted after this period will not be eligible for review.
    4.10. The following Fees and payments are non-refundable under all circumstances:
    Government or administrative Fees, including processing Fees paid to official entities.
    Service charges, third-party costs, and any penalty settlement Fees.
    Completed Services that have been fully utilized, regardless of the outcome.
    4.11. If the total amount paid for any Service is AED 2000 or less, no refund will be issued under any circumstances. In any case if the refund is approved, the refund amount shall be as per DSBH’s discretion.
    4.12. In cases where the payment was made via bank transfer and the Company has multiple shareholders, a Board Resolution will be required, clearly stating the bank account details to which the refund should be issued.
    4.13. DSBH shall be entitled to terminate the Services with immediate effect in the event the Client fails to fulfil payments owed to DSBH and/or the Free Zone and such non-payment is not remedied within thirty (30) days.
  5. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.
